Important. These Terms apply only to customers using GoAndTrack for business purposes. By creating a customer workspace, accepting an invitation, selecting an acceptance checkbox, subscribing or using the Services, you agree to these Terms for yourself and, where applicable, on behalf of the organisation you represent. If you do not agree, do not create an account or use the Services.
Contract hierarchy. If your organisation has a signed Order Form or customer agreement with GoAndTrack, that document and its incorporated schedules apply. It takes priority over these Terms for the specific commercial terms it states, and only overrides a legal clause where it expressly identifies that clause. The Data Processing Agreement takes priority for personal-data processing.
1 Scope and formation
1.1 These Terms govern access to and use of the online platform available at app.goandtrack.com and related GoAndTrack applications, dashboards, APIs, alerts, integrations, support and documentation (the Services).
1.2 These Terms form an agreement between GoAndTrack Ltd (GoAndTrack, we, us or our) and the business or other organisation for which the Services are created or used (Customer, you or your). They do not apply to a consumer acting mainly outside a trade, business, craft or profession.
1.3 The individual accepting these Terms confirms that they are at least 18 years old and have authority to bind the Customer. If an individual accepts an invitation to an existing Customer workspace, that individual is an Authorised User and must comply with these Terms, while the Customer remains responsible for the Authorised User.
1.4 The agreement is formed when the first authorised administrator actively accepts these Terms for the Customer or when an authorised person accepts them at checkout. GoAndTrack may retain electronic evidence of acceptance, including the Customer and user identifiers, time, document version, acceptance screen, IP address and user agent.
1.5 Hardware, smart labels, paid pilots and negotiated subscriptions may require an Order Form or separate customer agreement. Purchase-order terms, procurement portal terms and other Customer terms do not apply unless GoAndTrack expressly agrees to them in writing. A purchase order is an administrative payment reference only.
2 Definitions
| Term | Meaning |
|---|---|
| Account Data | information used to administer accounts, billing, security, support and the contractual relationship. |
| Applicable Law | laws, regulations, binding codes and governmental requirements applicable to a party or the Services. |
| Authorised User | an individual permitted by the Customer to access its workspace. |
| Customer Data | data submitted to, collected through or generated from the Services for the Customer, excluding Aggregated Data. |
| Device | tracking hardware, label, sticker, sensor, gateway or related item connected to the Services. |
| Free Service | a no-charge plan, trial feature or other service made available without subscription fees. |
| Order Form | a written or electronic order accepted by GoAndTrack for specified Services, Devices or a pilot. |
| Third-Party Service | a tracking provider, network, map, carrier, integration or service not controlled by GoAndTrack. |
3 Accounts and administration
3.1 The Customer must provide accurate registration, billing and contact information and keep it current. GoAndTrack may rely on instructions from recorded workspace owners and administrators.
3.2 The Customer controls its Authorised Users, roles, permissions, credentials, integrations and configurations. It is responsible for activity under its accounts and must promptly remove access that is no longer required.
3.3 Each Authorised User must keep credentials confidential, use reasonable security measures and promptly report suspected unauthorised access to GoAndTrack. Accounts must not be shared between individuals unless the applicable function expressly permits it.
3.4 GoAndTrack may require identity, authority or security verification before acting on a sensitive request or restoring access.
4 Licence and acceptable use
4.1 Subject to these Terms and payment of applicable fees, GoAndTrack grants the Customer a limited, non-exclusive, non-transferable and non-sublicensable right during the applicable service period to access and use the Services for its internal business operations.
4.2 The Customer must not, and must not permit anyone to:
-
sell, resell, sublicense, rent or provide the Services to a third party except as expressly permitted in an Order Form;
-
copy, modify, reverse engineer, decompile or attempt to derive source code, except to the limited extent Applicable Law prevents that restriction;
-
probe, scan, test or circumvent security, access controls, rate limits or usage restrictions without written permission;
-
introduce malicious code, disrupt the Services, use automated means that impose an unreasonable load, or access data not intended for the Customer;
-
use the Services unlawfully, infringe third-party rights, conduct covert or unauthorised surveillance, or assist a prohibited person, territory or activity; or
-
use the Services to develop or benchmark a competing product for publication without GoAndTrack's written approval.
4.3 The Customer must obtain all rights, notices, permissions and lawful bases required before tracking people, vehicles, assets or shipments. It must comply with applicable privacy, employment, carrier, aviation, customs, radio, battery, dangerous-goods, sanctions, export-control and trade requirements.
4.4 The Customer must not upload health data, biometric data, government identifiers, payment-card details or other sensitive personal data unless GoAndTrack has expressly agreed to that use in writing.
4.5 The Services must not be used as the sole system for emergency response, personal safety, life-critical monitoring, regulatory compliance or any situation where delayed, unavailable or inaccurate data could cause death, injury or serious damage.
4.6 Where GoAndTrack enables API access, the licence in clause 4.1 includes a limited, revocable right to use the API solely to integrate the Customer systems with the Services in accordance with the applicable documentation. The Customer is responsible for its API credentials, integration security and activity performed through those credentials.
4.7 The Customer must not exceed or circumvent API rate limits, access unauthorised data, introduce malicious code, impair the API or Services, use the API for a prohibited high-risk purpose, or sell, sublicense or redistribute API access. GoAndTrack may apply reasonable limits or suspend API access where necessary to protect security, stability, fair use or compliance.
5 Service plans capacity and changes
5.1 The features, Device allowance, user allowance, organisations, integrations, reporting limits and other capacity for a plan are described at signup, checkout, in the application, or in an Order Form. The plan description presented when the Customer subscribes forms part of the agreement.
5.2 Free Services are provided on a best-efforts basis without an uptime or response-time commitment. GoAndTrack may modify, limit or discontinue a Free Service on reasonable notice and may end access for inactivity, misuse or operational reasons.
5.3 GoAndTrack may update and improve the Services. It will not materially reduce the core paid functionality during a current committed term, except where necessary for security, law, a Third-Party Service change or prevention of harm.
5.4 Beta, preview, trial and experimental functions are provided as available, without warranty or service-level commitment, and may be changed or withdrawn at any time.
5.5 If the Customer exceeds a plan or Device allowance, GoAndTrack may require an upgrade or charge the applicable additional-capacity fees after notice. Continued material overuse may be suspended under clause 14.
5.6 Where platform access is included with a single-use Device supplied by GoAndTrack, the applicable Order Form or product terms state the entitlement. Unless stated otherwise, included access lasts for up to 60 days from activation, the Device must be activated within six months after delivery, and access expires automatically without renewal. This entitlement does not guarantee that the Device will remain powered, connected or reporting throughout that period.
6 Fees billing renewal and cancellation
6.1 The Customer must pay the fees, in the currency and on the schedule displayed at checkout or stated in an Order Form. Fees are non-cancellable and non-refundable except where these Terms, an Order Form or Applicable Law expressly provides otherwise.
6.2 A monthly rolling subscription renews for successive monthly billing periods. The Customer may cancel at any time through an available account or billing control or by written notice, and cancellation takes effect at the end of the current billing period. Fees already charged are not refunded.
6.3 An annual subscription has a 12-month initial term, is paid annually in advance and automatically renews for successive 12-month terms unless either party gives at least 30 days written notice before the renewal date. Cancellation during a committed term does not release the Customer from fees or create a pro-rata refund. Access continues until the end of the term unless earlier suspended or terminated.
6.4 GoAndTrack will aim to send an annual renewal reminder at least 45 days before renewal. Failure to receive a reminder does not remove the renewal mechanism where GoAndTrack can show that it sent the reminder to the recorded contact address.
6.5 GoAndTrack may increase subscription fees on at least 60 days notice. For an annual subscription, a material increase takes effect at the next renewal. For a monthly subscription, it takes effect no earlier than the first billing period beginning after the notice period.
6.6 Approved invoice billing is payable within 30 days after the invoice date. GoAndTrack may require card, bank debit or advance payment as a condition of approval or continued credit. If a payment fails or an invoice is overdue, GoAndTrack will ordinarily allow seven days to remedy the failure before suspension, unless immediate action is reasonably required or the Customer has repeatedly defaulted.
6.7 Fees exclude VAT, sales tax, use tax, withholding tax, duties and similar charges. The Customer is responsible for applicable charges other than taxes on GoAndTrack's net income. GoAndTrack is not currently VAT registered and will charge VAT only when legally required and registered to do so. The Customer is responsible for bank, foreign-exchange and payment-provider charges.
6.8 Overdue sums bear interest from the due date until payment at 4% per year above the Bank of England base rate, or the maximum lower rate permitted by Applicable Law.
7 Support and availability
7.1 Standard staffed support hours are 09:00 to 17:00 United Kingdom time, Monday to Friday, excluding public holidays in England.
7.2 For paid subscriptions, GoAndTrack targets an initial response within 24 clock hours after receipt, including weekends and public holidays. This is a response target, not a guaranteed resolution time. Free-tier support is provided on a best-efforts basis.
7.3 Support is available through the support channel shown in the application or at support@goandtrack.com. The Customer should provide its account, Device identifier, relevant time, symptoms and available diagnostic evidence.
7.4 No uptime percentage, service credit or resolution-time commitment applies unless an Enterprise service-level agreement is expressly incorporated into an Order Form. Planned maintenance, emergency maintenance and failures outside GoAndTrack's reasonable control do not create a service credit under these Terms.
8 Devices integrations and third-party services
8.1 The Customer may connect supported Devices and providers for which it has valid rights and credentials. Provider credentials remain the Customer's responsibility unless GoAndTrack expressly manages them under an Order Form.
8.2 Customer-selected tracking providers, networks, maps, carriers and integrations may be governed by their own terms. The Customer authorises the data exchange necessary to operate enabled integrations.
8.3 GoAndTrack is not responsible for the availability, accuracy, delay, change, security or discontinuation of a Third-Party Service, but will use reasonable efforts to identify material integration failures within its control.
8.4 A Third-Party Service change may require GoAndTrack to change or discontinue an integration. That change is not a breach where GoAndTrack uses reasonable efforts to offer a practical alternative when available.
9 Customer configuration and operational decisions
9.1 The Customer is responsible for configuring and validating alert thresholds, recipients, geofences, Device settings, integrations and automations before operational use and for keeping those settings appropriate.
9.2 Location, sensor readings, alerts, battery life, connectivity, route reconstruction and timing are not guaranteed. They may be incomplete, delayed or inaccurate because of Device settings, placement, environment, obstructions, networks, integrations, third-party systems and Customer configuration.
9.3 AI-generated summaries, recommendations and automated actions are decision-support only and may be inaccurate or incomplete. The Customer must review outputs before relying on them for operational, safety, regulatory or commercial decisions.
9.4 GoAndTrack provides monitoring information and workflow tools, not insurance, custody, carriage, security guarding or a guarantee of prevention, detection or recovery. The Customer remains responsible for its goods, operations, risk controls and insurance.
10 Data privacy and security
10.1 The Customer retains its rights in Customer Data. It grants GoAndTrack and its authorised subprocessors the rights necessary to host, process, transmit and use Customer Data to provide, secure and support the Services and comply with law.
10.2 For personal data processed through the Services on the Customer's instructions, the Customer is the controller and GoAndTrack is the processor unless Applicable Law uses different terminology. The GoAndTrack Data Processing Agreement, available through the application Legal area or on request, is incorporated into these Terms and governs that processing.
10.3 GoAndTrack acts as an independent controller for Account Data used for account administration, billing, security, support, communications and legal obligations. Its Privacy Notice, available through the application Legal area, explains that processing.
10.4 The Customer is responsible for the lawfulness, accuracy and quality of Customer Data and for giving required privacy information to relevant people. The Customer must not instruct GoAndTrack to process personal data unlawfully.
10.5 GoAndTrack owns and may use Aggregated Data, statistics and insights that have been aggregated and irreversibly anonymised so that they cannot identify the Customer, a person or an individual shipment.
10.6 GoAndTrack will maintain appropriate technical and organisational measures having regard to the nature of the Services and processing. No online service is completely secure, and the Customer must maintain appropriate account, endpoint, access and integration security.
10.7 Historical tracking and shipment data may be retained during an active subscription for up to seven years, subject to Customer settings, technical limits, lawful basis and any shorter period required by law or agreed in an Order Form.
11 Intellectual property and feedback
11.1 GoAndTrack and its licensors retain all rights in the Services, software, documentation, product designs, methods, analytics, improvements and related intellectual property. No ownership transfers to the Customer.
11.2 The Customer may use GoAndTrack documentation only for its internal use of the Services. It must preserve proprietary notices and may not publish or distribute documentation except as expressly permitted.
11.3 GoAndTrack may use suggestions and feedback without payment or restriction, provided it does not disclose Customer confidential information.
11.4 If a third-party claim alleges that the Services infringe intellectual-property rights, GoAndTrack may obtain continued use rights, modify or replace the affected element, or terminate it and refund the unused prepaid subscription fees for that element. To the fullest extent permitted by law, this is the Customer's exclusive remedy for that claim.
12 Confidentiality and publicity
12.1 Each party must protect the other party's non-public commercial, technical and operational information using at least reasonable care and may use it only to perform or exercise rights under the agreement.
12.2 Confidential information may be disclosed to personnel, professional advisers and contractors who need it and are bound by confidentiality, or where law requires disclosure. Where lawful, the receiving party will give advance notice of a compelled disclosure.
12.3 Confidentiality does not cover information that is public without breach, was lawfully known without restriction, is independently developed without use of the information, or is lawfully received from another source without duty.
12.4 These duties continue for five years after termination. Trade secrets remain protected for as long as they remain trade secrets under Applicable Law.
12.5 GoAndTrack may use the Customer's name, logo, results, testimonial or case study only after receiving separate written approval for that use.
13 Warranties and disclaimers
13.1 Each party warrants that it has authority to enter into the agreement. GoAndTrack will provide paid Services with reasonable care and skill.
13.2 Except as expressly stated and to the fullest extent permitted by law, the Services are provided without other warranties, conditions or representations, whether express, implied or statutory. Free, beta, preview and trial Services are provided as available.
13.3 GoAndTrack does not warrant that the Services will be uninterrupted, error-free, completely secure, compatible with every Device or Third-Party Service, or that all data, alerts or outputs will be accurate, complete or delivered at a particular time.
14 Suspension termination and data after termination
14.1 GoAndTrack may suspend affected Services for overdue payment after the grace period, material overuse, a security threat, unlawful use or a material breach. It will normally give notice and an opportunity to remedy, but may act immediately where reasonably necessary to prevent harm, comply with law or protect systems and users.
14.2 Either party may terminate the affected agreement for a remediable material breach that remains unremedied 14 days after written notice, or immediately for an irremediable material breach, insolvency or unlawful continuation.
14.3 Suspension does not relieve the Customer of fees already due or committed. GoAndTrack will restore access reasonably promptly after the cause is remedied, subject to payment of outstanding sums and reasonable reconnection requirements.
14.4 On termination, licence rights end and the Customer must stop using the affected Services. Accrued rights, payment duties and clauses intended to survive remain effective.
14.5 GoAndTrack may retain Customer Data for up to 90 days after termination before deletion, subject to the Data Processing Agreement, legal retention duties and backup cycles. There is no general post-termination export or migration entitlement. GoAndTrack may provide available commercial exports at its discretion or for an agreed fee; personal data will be returned or deleted where the Data Processing Agreement or law requires.
15 Liability
15.1 Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, breach of title to goods, or any liability that cannot legally be limited.
15.2 Subject to clause 15.1, neither party is liable for loss of profit, revenue, anticipated savings, business, goodwill or opportunity, or for indirect or consequential loss.
15.3 Subject to clause 15.1, GoAndTrack is not liable for loss, theft, delay, spoilage, contamination or damage affecting tracked goods; failure to prevent or recover an incident; or loss caused by inaccurate, delayed or unavailable Device, network, sensor, location, alert, AI or Third-Party Service data.
15.4 Subject to clause 15.1, each party's total aggregate liability arising from the Services in any rolling 12-month period will not exceed the fees paid or payable by the Customer for the affected Services during the 12 months immediately preceding the event giving rise to the claim. For a claim arising before 12 months of fees have accrued, the cap is the fees paid or payable for the first 12 months of the affected subscription. For Free Services, GoAndTrack's aggregate liability is limited to GBP 100.
15.5 The exclusions and cap apply to all causes of action, including contract, tort, negligence, misrepresentation, restitution and statutory duty, to the fullest extent permitted by law. The Customer acknowledges that the fees reflect this allocation of risk and should maintain appropriate insurance.
16 Customer indemnity
16.1 The Customer will indemnify GoAndTrack against third-party claims, losses and reasonable costs arising from the Customer's unlawful tracking or surveillance, misuse of the Services, Customer Data, Customer-provided content, or violation of privacy, sanctions, export-control, carrier or transport rules.
16.2 GoAndTrack must notify the Customer reasonably promptly, allow the Customer to control the defence and settlement, and provide reasonable assistance at the Customer's cost. The Customer may not admit liability for GoAndTrack or impose non-monetary obligations on it without consent.
17 Force majeure
17.1 Neither party is liable for delay or failure caused by events beyond its reasonable control, including internet, network or carrier outages; utility failure; natural disaster; epidemic; conflict; government action; sanctions; labour disruption; cyberattack not caused by failure to use reasonable security; or supply-chain interruption.
17.2 The affected party must use reasonable efforts to mitigate the effect and resume performance. Payment obligations already due are not excused. A force-majeure event does not itself create a special termination or refund right.
18 Changes to the Services and Terms
18.1 GoAndTrack may update these standard online Terms on at least 60 days notice. A material change affecting an existing annual subscription takes effect at its next renewal unless earlier effect is required by law or reasonably necessary to address an urgent security risk.
18.2 GoAndTrack may ask an authorised administrator to accept revised Terms where a change materially affects price mechanics, renewal, liability, governing law, data use or Customer data rights. Continued routine login alone does not constitute fresh acceptance where GoAndTrack has required an active reacceptance step.
18.3 The current version and effective date will be available through the application Legal area. GoAndTrack will retain archived versions and acceptance records. Changes to a signed Order Form require written agreement except as expressly permitted by that agreement.
19 Notices
19.1 Formal contractual notices to GoAndTrack must be emailed to sales@goandtrack.com. Privacy and data-protection requests may be sent to privacy@goandtrack.com. Notices to the Customer may be sent to its recorded workspace owner, billing contact or notice address. The Customer must promptly update those details.
19.2 An email notice is treated as received on the next business day after sending unless the sender receives a delivery-failure message. This clause does not govern service of court proceedings where Applicable Law requires another method.
20 General
20.1 Neither party is the other party's partner, agent, fiduciary or employer. Neither may bind the other except as expressly authorised.
20.2 The Customer may not assign, transfer or subcontract its rights or duties without GoAndTrack's written consent. GoAndTrack may transfer the agreement as part of a merger, restructuring, financing or sale of all or a material part of its business, on written notice.
20.3 If a provision is invalid or unenforceable, it will be modified to the minimum extent necessary or deleted, and the remaining provisions continue. Failure or delay to enforce a right is not a waiver.
20.4 A person who is not a party has no right to enforce the agreement under the Contracts (Rights of Third Parties) Act 1999, except a permitted successor or assignee.
20.5 These Terms, any applicable Order Form, the Data Processing Agreement and documents expressly incorporated into them form the entire agreement about the Services and replace prior proposals and discussions. Neither party relies on a statement not recorded in them, without limiting liability for fraud.
20.6 The agreement may be accepted or signed electronically and in counterparts. English is the controlling language; translations are for convenience only.
21 Disputes and governing law
21.1 Before starting proceedings, the parties will escalate a dispute to senior representatives and try in good faith to resolve it for 30 days. This does not prevent urgent injunctive relief or straightforward debt recovery.
21.2 The agreement and non-contractual obligations arising from it are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
